01 Acceptance of Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you ("User") and 3DParty ("Company", "we", "us", or "our") governing your access to and use of the 3DParty platform, including our website, AI-generation tools, 3D editor, storage services, and public gallery (collectively, the "Service").
By creating an account, accessing the Service, or clicking "I Agree", you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
02 Eligibility
You must be at least 13 years of age (or 16 in the EU) to use the Service. By using the Service, you represent that you meet this age requirement. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
03 Your Account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:
- Provide accurate and current registration information.
- Promptly notify us of any unauthorised access or security breach.
- Not share your account with others or create accounts by automated means.
- Not create more than one account per person except where expressly permitted.
We reserve the right to suspend or terminate accounts that violate these Terms.
04 Services & Subscription Plans
3DParty offers free and paid subscription tiers. Features available on each tier are described on the Pricing page and are subject to change with reasonable notice.
- Free tier: limited AI generations and storage, subject to fair-use limits.
- Paid tiers: expanded generation credits, storage quota, priority processing, and commercial licensing rights (see Section 6).
We may modify, suspend, or discontinue the Service or any feature at any time with reasonable prior notice. We will not be liable for any such modification, suspension, or discontinuation.
05 User Content
Your ownership
You retain ownership of content you upload to or create on 3DParty, including reference images, 3D models, uploaded files (GLB, OBJ, FBX, STL, USDZ, and other supported formats), textures, and associated metadata ("User Content").
Uploaded 3D Models
You may upload 3D models directly to the 3DParty workspace and gallery. When you upload a 3D model file, you represent and warrant that:
- You are the original creator of the model, or you have obtained all necessary rights, licences, or permissions to upload and share it.
- The model does not incorporate or derive from copyrighted third-party content (characters, designs, artwork, etc.) without proper authorisation.
- The model does not contain embedded malware, malicious scripts, or harmful code.
- The model complies with our Acceptable Use Policy and does not violate any applicable law.
3DParty does not verify the intellectual property status of uploaded models. We act as a hosting platform and are not responsible for determining whether uploaded content infringes third-party rights. If you upload content that you do not own or have rights to, you — not 3DParty — bear full legal responsibility.
License to 3DParty
By uploading User Content, you grant 3DParty a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, process, display, and distribute your User Content solely for the purpose of operating and improving the Service.
Public content & Gallery uploads
Content you mark as "public" or share in the Discover Gallery may be indexed, displayed, and downloaded by any visitor of the Service. By sharing content publicly, you grant other users a limited, non-exclusive licence to view and, where applicable, download that content for personal or commercial use according to the licence you select.
You are responsible for ensuring you have the right to share such content publicly. If you upload a model created by someone else, you must have their explicit permission or a valid licence that permits public redistribution.
Content standards
You must not upload content that is unlawful, harmful, defamatory, infringing, obscene, or violates our Acceptable Use Policy.
06 AI-Generated Content & Licensing
The 3D assets generated by our AI pipeline based on your prompts and reference images are issued to you under the following terms:
- Free tier: personal and non-commercial use only. Attribution to "3DParty" is required when sharing.
- Pro / Studio tiers: full commercial use rights, including use in commercial projects, games, films, and products. No attribution required.
We retain no ownership claim over AI-generated content produced solely from your prompts and uploaded assets.
07 Intellectual Property
The 3DParty brand, logo, platform software, UI design, documentation, and proprietary AI models are owned by 3DParty and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, reproduce, or create derivative works of our platform without express written permission.
Third-party open-source components used in the Service are subject to their respective licences.
DMCA / Copyright Infringement
3DParty respects the intellectual property rights of others and expects its users to do the same. If you believe that any content on our platform infringes your copyright, please submit a written notification to our designated Copyright Agent:
Your notice must include: (a) a description of the copyrighted work you claim has been infringed; (b) the URL or location of the allegedly infringing material on our platform; (c) your contact information; (d) a statement that you have a good-faith belief that the use is not authorised; and (e) a statement, under penalty of perjury, that the information is accurate and that you are the copyright owner or authorised to act on their behalf.
We will respond to valid DMCA takedown requests within 48 hours and remove or disable access to the allegedly infringing material. Repeat infringers will have their accounts terminated.
User-Generated Content & Copyright Responsibility
You are solely responsible for ensuring that content you upload, generate, or share on 3DParty does not infringe the intellectual property rights of any third party. This includes reference images, text prompts, and any other input you provide to our AI generation tools.
3DParty does not claim ownership of, and assumes no liability for, user-generated content that infringes third-party copyrights, trademarks, or other intellectual property rights. If you generate content that incorporates or resembles copyrighted material (characters, logos, designs, etc.) without authorisation, you — not 3DParty — bear full legal responsibility for that content.
By uploading or generating content, you represent and warrant that you have all necessary rights, licences, or permissions to use any input materials, and that the resulting output does not violate any third-party intellectual property rights.
08 Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose or in violation of any regulation.
- Generate content that is sexually explicit, violent, hateful, or otherwise harmful.
- Attempt to reverse-engineer, decompile, or extract our proprietary AI models.
- Circumvent credit limits, rate limits, or access controls by automated means (bots, scripts, crawlers).
- Resell or sublicense access to the Service without prior written consent.
- Interfere with or disrupt the integrity or performance of the Service.
- Upload malware, destructive code, or content containing exploits.
- Infringe the intellectual property or privacy rights of others.
Violation may result in immediate account termination and, where appropriate, legal action. See our Acceptable Use Policy for detailed guidance.
09 Payments, Subscriptions & Billing
Paid subscriptions are billed in advance on a monthly cycle. All prices are listed in USD and are exclusive of applicable taxes unless stated otherwise. Payments are processed by Stripe. By purchasing a subscription, you authorise Stripe to charge your payment method on a recurring basis.
Subscription Lifecycle
- Activation: Your subscription activates immediately upon successful payment. Credits are allocated at the start of each billing cycle.
- Renewal: Subscriptions renew automatically at the end of each billing period. Your payment method will be charged on the renewal date.
- Failed payments: If a payment fails, we provide a 3-day grace period during which Stripe will automatically retry the charge. Your plan benefits remain active during this period. If all retries fail, your subscription will be downgraded to the Free plan and remaining paid credits will be revoked.
- Outstanding balance: You must resolve any outstanding payment before cancelling your subscription or changing plans. Accounts with past-due balances cannot be cancelled until the balance is settled.
Plan Changes (Upgrades & Downgrades)
- Upgrades: When upgrading to a higher-tier plan, you will be charged the full price of the new plan. The new plan's credits are allocated immediately and a new billing cycle begins. No credit or refund is issued for the remaining time on your previous plan.
- Downgrades: When downgrading to a lower-tier plan, the change takes effect at the end of your current billing period. You will continue to enjoy your current plan's benefits and credits until the billing period ends. No refund is issued for the price difference.
Cancellation
- You may cancel your subscription at any time from your account settings.
- Cancellation takes effect at the end of your current billing period. You will retain access to all paid features until then.
- No pro-rata refunds are issued for unused time in the current billing period.
- Cancelled subscriptions can be reactivated at any time before the period ends, restoring full access.
Refunds
- We offer refunds within 7 days of initial purchase if you have not consumed more than 10% of plan credits.
- Beyond the 7-day window, all subscription payments are non-refundable.
Credits
- AI generation credits are allocated at the start of each billing cycle and expire at the end of that cycle.
- Credits are not transferable between accounts and are not redeemable for cash.
- Unused credits do not roll over to the next billing period.
- Price changes: we will provide at least 30 days' notice before changing subscription prices.
9a Credits & Account Management
Credit Adjustments
3DParty reserves the right to adjust user credits at our discretion, including but not limited to:
- Credit bonuses: We may award bonus credits for promotions, referrals, community contributions, bug reports, or other activities at our sole discretion.
- Credit reductions: We may reduce or revoke credits if we detect suspicious activity, abuse of the platform, exploitation of bugs or loopholes, use of automated scripts or bots to circumvent limits, or any violation of these Terms or our Acceptable Use Policy.
- Credit corrections: We may correct credit balances affected by system errors, processing failures, or unauthorised transactions.
Credit adjustments are final and not subject to appeal except where required by applicable law. Bonus credits may have expiration dates or usage restrictions as specified at the time of award.
Account Safety & Platform Protection
We reserve the right to take action against accounts that pose a risk to the platform, our community, or other users, including:
- Account suspension: Temporary suspension of accounts under investigation for policy violations, suspicious activity, or security concerns.
- Account termination: Permanent closure of accounts engaged in serious or repeated violations of these Terms, our Acceptable Use Policy, or any activity that poses a danger to the platform or its community.
- Content removal: Immediate removal of content that violates our policies, without prior notice.
- Access restriction: Limiting or revoking access to specific features, the public gallery, or the API for accounts that misuse them.
We will make reasonable efforts to notify you of actions taken against your account, except where providing notice could compromise an ongoing investigation or platform security.

AI generation results may vary and we do not warrant specific output quality, accuracy, or artistic merit. See our full Disclaimers page.
11 Limitation of Liability
To the fullest extent permitted by applicable law, 3DParty shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of or inability to use the Service, including loss of revenue, profits, data, or goodwill.
Our total aggregate liability to you for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD $100.
12 Indemnification
You agree to indemnify, defend, and hold harmless 3DParty and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service.
- Your User Content, including any content you upload, generate, or share.
- Your violation of these Terms.
- Any claim that content you generated or uploaded infringes the intellectual property rights, privacy rights, or other rights of any third party.
This indemnification obligation survives the termination of your account and these Terms.
13 Termination & Account Closure
Either party may terminate this agreement at any time. We may suspend or terminate your access immediately for material violation of these Terms, without prior notice.
In addition, we may immediately terminate or suspend accounts that:
- Pose a danger to the platform, its infrastructure, or other users.
- Engage in fraudulent, malicious, or criminal activity.
- Repeatedly violate our Acceptable Use Policy or community guidelines.
- Use the Service for purposes that harm the community or undermine the integrity of the platform.
Upon termination: your right to use the Service ends immediately; your data may be deleted after a 60-day grace period; sections that by their nature should survive termination will do so (Intellectual Property, Limitation of Liability, Indemnification, Governing Law).
14 Governing Law & Disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law provisions. Any dispute shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under AAA Commercial Arbitration Rules, except that either party may seek injunctive relief in any court of competent jurisdiction.
